This Liability Waiver and Release of Liability (“Agreement”) is entered into between you (“Participant,” “you,” or “your”) and Key Method LLC (“Key Method,” “Studio,” “we,” “our,” or “us”).
By attending classes, using studio equipment, or participating in any services offered by Key Method LLC, you acknowledge that you have read, understood, and agree to the following terms.
1. Voluntary Participation
Participation in Pilates, strength training, and fitness classes at Key Method LLC is voluntary.
Participant understands that classes may involve the use of reformer machines, resistance equipment, weights, balance movements, and physical exertion.
2. Assumption of Risk
Participant understands that fitness activities involve inherent risks, including but not limited to:
• muscle strain
• sprains or tears
• slips or falls
• equipment malfunction
• physical injury
• serious bodily injury
Participant knowingly and voluntarily assumes all risks, whether known or unknown, related to participation in studio activities.
3. Health & Medical Acknowledgment
Participant affirms that they are physically capable of participating in exercise activities.
Participant agrees to:
• consult a physician prior to beginning any exercise program if necessary
• disclose any injuries, physical limitations, or medical conditions to instructors
• stop exercising if they experience pain, dizziness, or discomfort
Key Method LLC does not provide medical advice.
4. Instructor Guidance & Modification Clause
Participant agrees to follow all instructions provided by studio staff and instructors.
Participant acknowledges that instructors may offer exercise modifications or safety corrections and agrees to follow such guidance.
Failure to follow instructor instructions or misuse equipment may increase the risk of injury, for which Participant assumes full responsibility.
5. Late Arrival Safety Policy
For safety reasons, participants arriving after the class warm-up has begun may be refused entry at the instructor’s discretion.
Missing the warm-up portion of class may increase the risk of injury.
Participant acknowledges that late arrival policies are implemented to protect participant safety and the class experience.
New Clients Arrival Safety Policy
For safety reasons, new clients must arrive on time for their first class in order to receive a proper introduction to the studio, equipment, and class format.
New clients who arrive late may not be permitted to participate in the class, as they will have missed the necessary safety and equipment instruction.
In such cases, the participant will be asked to reschedule their first class for a later date.
This policy is in place to ensure that all participants are properly instructed on the safe use of studio equipment and class mechanics prior to participation.
6. Equipment Use
Equipment Use
Participant understands that studio equipment, including reformers, resistance machines, springs, straps, weights, and other exercise apparatus, involves moving mechanical components and adjustable resistance.
Participant agrees to use all equipment only as instructed by studio staff and instructors.
Participant acknowledges that improper use of equipment, including incorrect positioning, failure to follow instructor guidance, or adjusting equipment without instruction, may result in injury.
Participant assumes full responsibility for the safe use of all equipment and agrees not to adjust, modify, or misuse studio equipment unless directed by an instructor.
Key Method LLC shall not be held responsible for injuries resulting from improper use, misuse, or unauthorized adjustment of studio equipment.
7. Studio Conduct
Participant agrees to behave in a respectful and safe manner within the studio.
Key Method LLC reserves the right to refuse service or remove participants who:
• act in an unsafe manner
• disrupt classes
• misuse equipment
• fail to follow instructor guidance
8. Pregnancy
Participants who are pregnant, believe they may be pregnant, or are postpartum acknowledge that participation in physical exercise may involve additional risks.
Participants who are pregnant agree to consult with their physician or qualified healthcare provider prior to participating in any classes or activities offered by Key Method LLC.
By participating in studio activities while pregnant or postpartum, the participant acknowledges that they are doing so voluntarily and at their own risk.
Participants are responsible for informing instructors of their pregnancy and any physical limitations. Instructors may provide suggested modifications; however, participants remain responsible for determining whether the activity is appropriate for their condition.
To the fullest extent permitted by law, the participant releases and holds harmless Key Method LLC and its owners, employees, instructors, and agents from any claims, injuries, complications, or damages that may arise from participation during pregnancy or postpartum recovery.
9. Release of Liability
To the fullest extent permitted by California law, Participant hereby releases, waives, and discharges Key Method LLC and its owners, members, managers, officers, employees, instructors, independent contractors, agents, representatives, affiliates, successors, and assigns from any and all liability, claims, demands, damages, losses, or causes of action arising out of or related to participation in studio activities or presence on the studio premises, including the use of equipment, facilities, or surrounding areas.
This release includes claims arising from the ordinary negligence of Key Method LLC or its staff.
Participant understands that by agreeing to this release they are waiving certain legal rights, including the right to bring a lawsuit for personal injury or damages.
10. Personal Property
Key Method LLC is not responsible for lost, stolen, or damaged personal property brought into the studio.
11. Media Release
Participant understands that photographs, video recordings, or other media may occasionally be captured within the studio during classes, events, or other studio activities.
By participating in activities at Key Method LLC, Participant grants permission for Key Method LLC to use their image, likeness, voice, or appearance in photographs, video recordings, or other media for purposes including, but not limited to:
• marketing
• advertising
• social media
• website content
• promotional materials
Participant understands that such media may be used without compensation.
If Participant prefers not to appear in studio media, they must notify Key Method LLC in writing, and the studio will make reasonable efforts to accommodate the request.
12. California Civil Code §1542 Waiver
Participant expressly waives the provisions of California Civil Code Section 1542, which states:
A general release does not extend to claims that the releasing party does not know or suspect to exist in their favor at the time of executing the release.
Participant acknowledges that this waiver applies to all claims, whether known or unknown, arising from participation in studio activities.
13. Indemnification
Participant agrees to indemnify and hold harmless Key Method LLC and its owners, employees, instructors, contractors, and agents from any claims, damages, liabilities, losses, or expenses arising from Participant’s actions, conduct, or participation in studio activities.
14. Arbitration Agreement
Any dispute, claim, or controversy arising out of participation in activities at Key Method LLC shall be resolved through binding arbitration, rather than court litigation.
Arbitration shall take place in the State of California and be conducted in accordance with the rules of the American Arbitration Association.
Participant understands that by agreeing to arbitration they are waiving the right to a jury trial.
15. Class Action Waiver
Participant agrees that any dispute, claim, or controversy arising out of or relating to participation in activities at Key Method LLC shall be resolved on an individual basis only.
Participant agrees not to participate in any class action, collective action, or representative proceeding against Key Method LLC.
Participant further agrees that any arbitration or legal proceeding shall be conducted only on an individual basis, and not on behalf of or as part of any class, collective, or representative action.
16. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
Any dispute arising out of or relating to this Agreement or participation in activities at Key Method LLC shall be resolved in accordance with the dispute resolution provisions contained herein and shall take place within the State of California.
17. Severability
If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
18. Acknowledgment of Understanding
I HAVE READ THIS LIABILITY WAIVER AND RELEASE OF LIABILITY.
I FULLY UNDERSTAND THAT BY SIGNING THIS DOCUMENT I AM GIVING UP CERTAIN LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE.
I voluntarily agree to the terms of this Agreement.
19. Minor Participant Agreement
If the Participant is under the age of eighteen (18), this Agreement must be signed by a parent or legal guardian.
By signing on behalf of the minor Participant, the parent or legal guardian:
• consents to the minor’s participation in classes, programs, and activities offered by Key Method LLC
• acknowledges and accepts the risks associated with participation in physical exercise
• agrees to all terms of this Liability Waiver and Release of Liability
The parent or legal guardian further agrees to release, waive, and discharge Key Method LLC from any claims arising from the minor’s participation.
The parent or legal guardian also agrees to indemnify and hold harmless Key Method LLC from any claims brought by or on behalf of the minor Participant.
20. Minor Supervision Requirement
Participants under the age of sixteen (16) must be accompanied by a parent or legal guardian who remains on the studio premises for the duration of the class or activity.
The supervising parent or legal guardian must remain on the property and be available during the entire time the minor is participating in studio activities.
Key Method LLC does not provide supervision, childcare, or custodial services for minors.
The parent or legal guardian acknowledges that they are solely responsible for the care, supervision, and conduct of the minor participant while on studio premises.
Key Method LLC reserves the right to refuse participation to any minor whose parent or legal guardian is not present on the premises as required by this policy.
